    Issue of equity, director shareholding and directorate change

    Proton Power Systems plc (AIM: PPS), the designer, developer and producer of fuel cells and fuel cell electric hybrid systems, announces that it has issued 613,723 ordinary shares of 1 pence each in the Company (the “New Ordinary Shares”) at 4.3p per New Ordinary Share to Chairman Helmut Gierse, in lieu of fees.

    An application has been made for the New Ordinary Shares to be admitted to trading on AIM which is expected to take effect around 9 April 2018 (“Admission”).

    Following Admission the Company’s issued share capital will comprise 644,882,228 ordinary shares of 1 Pence each in the Company (“Ordinary Shares”). The Company does not hold any Ordinary Shares in treasury. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority’s Disclosure Guidance and Transparency Rules.

    As a result of this transaction Helmut Gierse holds 3,520,339 Ordinary Shares representing 0.5459 per cent of the Company’s issued share capital and options over 6,050,000 Ordinary shares.

    Proton announces that Ian Peden has resigned as Non-Executive Director.

    Flexible Power Range of Fuel Cells and Fuel Cell Systems

    Based on the strength of results demonstrated in our earlier generation fuel cells stacks and systems, Proton is proud to announce the launch of its fourth-generation new high efficiency stacks and fuel cell systems. The new lighter weight and higher integration single stack modular designs covers power ranges from 2 up to 16 kW in 2 kW steps in the lower power class (PM200) and from 15 to 75 kW in 7.5 kW steps in the upper power class (PM400).
    Both power classes are available for stationary, logistic, automotive, rail and maritime applications.
    Also offered are multi stack systems for power demands beyond 100 kW for larger trucks, trains, ships and larger stationary applications.

    The Proton customer applications team provides design and engineering to cater for the necessary design assistance to clients as well as extended service to operators.

    Helmut Gierse, Chairman of Proton, commented: I am delighted to announce this new product range which builds on and improves our third generation fuel cells delivering lighter, more efficient and highly integrated single stack modular fuel cells; the new range of products will include 37 kW and 67 kW fuel cell systems (excluding auxiliaries to provide 30 and 60kW) addressing the Chinese market.     The Board is pleased to announce the appointments of Sebastian Goldner as Director Customer Project Management and Service and Manfred Limbrunner as Director Sales and Marketing, both with effect from 19 February 2018. Both Sebastian and Manfred will also join the Board as Directors.

    Sebastian, aged 37, has over 10 years’ experience in the design and construction of mobile, maritime and stationary fuel cell applications. His experience is based on various leadership positions in sales & marketing, project management and development within the Proton organisation. Currently, Sebastian is responsible for all customer projects and customer service. Sebastian studied engineering computer science with a focus on electrical engineering at the University of Paderborn. As part of his studies, he wrote his diploma thesis at Infineon Technologies in Munich.

    Manfred, aged 48, joined the Proton organization in November 2000 as a design engineer and project manager for various mobile and maritime projects. In the initial years he was also responsible for the systems engineering and registration of Proton´s Fuel Cell Hybrid Systems. As the organisation developed further, he formed and led the design department, played a significant role in implementing the quality management system and in October 2009 moved to product management, until he was appointed as CTO in March 2011. By November 2016 he took over the newly founded Mobility Business Unit and is now responsible for Sales and Marketing.

    Prior to joining Proton, Manfred Limbrunner worked for 5 years in the pulp & paper plant engineering business. His main duties and responsibilities were in the design of complex plant sub assembly groups, supervising their mounting through external suppliers, plant engineering, customer support, supervising the mounting team as well as project management.

    Manfred Limbrunner studied mechanical engineering with a focus on design at the University of Applied Sciences in Kempten and started his career at Hoerbiger Fluidtechnik GmbH in 1995.

    Neither Sebastian nor Manfred currently hold, directly or indirectly, any Ordinary Shares in the Company.

    With the exception of these disclosures, there are no other disclosures required in relation to Rule 17 or paragraph (g) of Schedule 2 of the AIM rules for companies.

    Proton Power Systems plc (AIM: PPS), the designer, developer and producer of fuel cells and fuel cell electric hybrid systems, announces the following changes of Director Responsibilities, effective from 20 December 2017:

    Achim Loecher has resigned as Chairman and Company Secretary to pursue new challenges outside the Proton Group.

    Helmut Gierse, a Non-Executive Director of the Company, is appointed as Chairman with immediate effect.

    In addition to his Group Finance Director role, Roman Kotlarzewski will take on the function of Company Secretary.

    Furthermore the Board of Proton today announces that it has appointed RMT Accountants & Business Advisors Ltd as its auditor following a comprehensive tender process.

    Commenting on the changes, Dr. Nahab, CEO of Proton, said:

    Proton Power Systems plc (AIM: PPS), a Clean Tech total power solution provider, uniquely the designer, developer and producer of fuel cells and fuel cell electric hybrid systems, announces that at the Company’s Annual General Meeting held on 1 June 2016 all resolutions put to shareholders were duly passed.

    At the meeting Ian Peden, Chairman of Proton Power, said: „Proton has moved into the commercialisation phase during 2016 and beyond with a very strong €2.5m order book. The key strength of Proton Power is the „blue chip“ relationships we have with the major players in the clean power solutions industry. This will form the foundation of our future revenue streams.     Proton Motor wins ‘Surf and Turf’ project in Orkney Islands

    As one of the leading clean tech provider’s in Europe, Proton Motor are thrilled to have received an order for a 75kVA containerized fuel cell stationary power system for the Orkney Islands on their Surf and Turf project.

    The project involves generating hydrogen from wind and tidal energy and using it as the energy storage medium. The hydrogen is then used to provide electricity for the Orkney Islands harbour. The wind and seas around the Orkney Islands provide an abundance of renewable energy resources.

    Through concerted efforts, communities like Orkney Islands are now starting to see the benefits of ownership of renewable power generation capacity. This project will see the Orkney Islands take a small, but important, step towards rising to the challenge of managing the limits of its energy infrastructure. This project will help unlock the constraints imposed by 20th century power cables and is a great demonstration of how our technology can help overcome the shortcomings of the local electricity grid.

    Proton will provide the 75kVA containerized fuel cell stationary power system for a total contract value of more than €0.5 million to be delivered in 2016.

    Faiz Francoise Nahab Ph.D., CEO of Proton, said: “This is a very important order for us. The fuel cell system is based on our 25kVA system, which is operated in a modular mode. The container has all necessary components to be connected to the local grid. Proton is responsible for the turn key delivery of the container. We hope to see more applications in this market sector and more islands like the Orkney Islands taking a proactive role. Proton expects a fast growing demand worldwide for this type of applications. Storing wind and solar energy is a big challenge and we have the right solution to use such green energy in stationary or mobile applications.“
